By accessing or using the Novicus Systems website, you agree to these Terms & Conditions. If you do not agree with these Terms, you should stop using the website.

4. Enquiries
Users may submit enquiries through the Novicus Systems website. Submission of an enquiry does not oblige Novicus Systems to provide a service and does not create a binding agreement. A service relationship will ordinarily commence only once the applicable quotation, proposal, order, agreement or other commercial arrangement has been accepted.
5. Quotations
Unless expressly stated otherwise: Quotations are valid only for the period stated in the quotation. Prices may change after the quotation validity period. Third-party prices, licence fees, exchange rates, hardware costs, connectivity charges and supplier costs may change without notice. Any work outside the agreed scope may be quoted or billed separately. A quotation may be subject to deposits, payment terms, service agreements or other conditions.
6. Third-Party Products And Services
Novicus Systems may supply, recommend, resell, configure or support products and services provided by third parties. These may include:
- Microsoft products
- Cloud services
- Internet services
- Hosting platforms
- Telecommunications
- Software licences
- Hardware
- Antivirus and security software
- Domain registrations
- Backup services
- Connectivity services
- Other technology products Third-party products may be subject to the relevant provider's own terms, warranties, licence conditions, acceptable- use rules and privacy policies. Novicus Systems cannot control changes made by third-party providers to their products, prices, platforms, terms or availability.
7. Web Hosting And Server Services
Hosting, server, cloud or related services may be subject to additional service-specific terms. Where applicable, server infrastructure may be hosted within third-party data centres. Novicus Systems currently makes use of infrastructure associated with xneelo, including facilities located at: 21 Landmarks Avenue Samrand Business Park Centurion
Gauteng 0187 Specific server hosting services may be governed by separate Server Hosting Terms & Conditions, service specifications or service level agreements. Where there is a conflict between these general website Terms and a signed service-specific agreement, the service- specific agreement will apply to that service.
8. Connectivity And Telecommunication Services
Business connectivity and VoIP services may depend on third-party telecommunications networks, fibre providers, wireless networks, electricity supply and other infrastructure. Coverage, speeds, uptime, latency and service availability may therefore be affected by factors outside the reasonable control of Novicus Systems. Any specific service commitments will be governed by the applicable quotation, service specification or SLA.
9. Managed It And Support Services
Managed support, remote support, onsite support, maintenance and SLA services are provided according to the applicable agreement or quotation. Response time does not necessarily mean resolution time. Resolution may depend on:
- The nature of the problem
- Availability of parts
- Third-party suppliers
- Client cooperation
- Network availability
- Software vendors
- External infrastructure
- Access to systems
- Other factors outside the reasonable control of Novicus Systems
10. Client Responsibilities
Clients are responsible for:
- Providing accurate information
- Providing authorised access where required
- Maintaining valid software licences
- Ensuring appropriate authority to instruct Novicus Systems
- Maintaining appropriate business continuity processes
- Following reasonable security recommendations
- Protecting passwords and login credentials
- Reporting security incidents promptly
- Ensuring users comply with acceptable-use requirements
- Paying invoices when due
11. Security
Novicus Systems will take reasonable measures appropriate to the service being supplied.
No cybersecurity system, internet service, cloud platform, backup platform or network can guarantee absolute security. Clients remain responsible for maintaining appropriate internal security controls and for informing Novicus Systems of material changes to their environment.
12. Backups
Where backup services form part of an agreed service, the scope, frequency, retention and restoration procedures will be determined by the relevant service agreement or configuration. Clients should not assume that information is backed up unless backup services have specifically been agreed and configured.
13. Website Design And Development
Where Novicus Systems provides website design or development services: The project scope will be determined by the applicable quotation or proposal. Clients are responsible for supplying content, logos, images and other required materials unless otherwise agreed. Clients warrant that they have the right to use materials supplied to Novicus Systems. Additional revisions or functions outside the agreed scope may result in additional charges. Third-party themes, plugins, licences and services may require separate subscriptions or payments.
14. Intellectual Property
Unless otherwise agreed in writing: Novicus Systems retains ownership of its pre-existing code, systems, methods, templates, know-how, tools and intellectual property. Clients retain ownership of materials they provide to Novicus Systems. Third-party software remains the property of the relevant third party and is subject to its licence terms. Ownership or usage rights in custom deliverables may be addressed in the applicable quotation, proposal or service agreement.
15. Payment
Invoices must be paid according to the terms shown on the applicable invoice, quotation or agreement. Novicus Systems may suspend non-essential services where undisputed amounts remain overdue, subject to applicable law and contractual obligations. The client remains responsible for amounts lawfully due under the applicable agreement.
16. Suspension Of Services
Novicus Systems may suspend or restrict a service where reasonably necessary because of:
- Non-payment
- Security risks
- Illegal activity
- Abuse
- Breach of contract
- Threats to infrastructure
- Third-party suspension
- Regulatory requirements
- Emergency maintenance Where reasonably possible, affected clients will be informed.
17. Acceptable Use
Users and clients may not use Novicus Systems infrastructure, hosting or services for unlawful, abusive or harmful purposes. This includes:
- Malware distribution
- Unauthorised system access
- Spam
- Fraud
- Copyright infringement
- Illegal content
- Network attacks
- Credential theft
- Phishing
- Abuse of third-party systems
18. Availability Of The Website
Novicus Systems does not warrant that its public website will always operate without interruption. The website may occasionally be unavailable for maintenance, security, upgrades, technical problems or reasons beyond our control.
19. Warranties
Novicus Systems will provide agreed services with reasonable care and skill. Except where specifically agreed in writing or required by law, no additional warranty is made regarding uninterrupted or error-free operation of third-party platforms, networks, services or software.
20. Limitation Of Liability
To the maximum extent permitted by applicable law, Novicus Systems will not be liable for indirect, consequential or special losses arising from the use of the website or circumstances beyond its reasonable control. Any contractual limitation of liability applicable to paid services may be dealt with separately in the applicable agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.
21. Website Information
Novicus Systems takes reasonable care when publishing information but cannot guarantee that every page will always be free from errors or immediately reflect changes made by third-party suppliers. Users should obtain a current quotation or written confirmation before relying on website information for a commercial decision.

Personal information submitted to Novicus Systems is handled according to our Privacy Policy and POPIA Compliance Notice.

Our website may contain links to third-party websites. Novicus Systems does not control third-party websites and is not responsible for their content, security, availability or privacy practices.
24. Force Majeure
Novicus Systems will not be liable for failure or delay caused by events outside its reasonable control, including:
